FUNCTIONAL RESPONSIBILITIES
Supports the legal business partner in advising the company’s executive team as well as the investor relations, internal audit, finance, human resources, and corporate communications functions.
Ensures adequate compliance with all applicable laws and regulations, in coordination with other functions such as Audit, Risk, and Compliance, by outlining how Corporate Governance can be aligned to the objectives and strategy of the organization.
Cooperates in carrying out special projects and assignments on an as-needed basis as part of the oversight function or as required by the Holding Company.
Provides legal guidance on external communications such as earnings releases, press releases, investor presentations, marketing materials, and the Company website.
Legal and Contract Management
Supports in the contract lifecycle management by drafting, reviewing, finalizing, and archiving a variety of agreements including, but not limited to, supply agreements, lease agreements, master services agreements, SOWs, non-disclosure agreements, and maintenance agreements.
Assists with maintaining and updating corporate books and records, including, but not limited to, articles of associations and bylaws, POAs, and board of director’s resolutions, and assists in the review of corporate transaction legal documents.
Provides support for various projects related to process improvements, risk management, record retention, implementation of new laws, due diligence, and corporate investigations.
Provides support in litigation, labor law, and other legal disputes.
Researches and anticipates unique legal issues that could impact the company.
Maintains and updates the legal risks register and works with the legal team to monitor and control relevant risks by executing appropriate actions and training.
Assists in the regular review of risk governance processes including analyzing existing processes, recommending and implementing changes, and documenting new processes and procedures to support compliance, continuous improvement, and innovative best practices in risk control.
Contacts and visits government ministries and agencies to inquire and follow up on legal matters.
Legal Dispute Resolution
Prepares memoranda and undertakes case analysis on litigated matters.
Liaises with business partners and external lawyers to manage claims and proceedings.
Represents the company (where authorized to do so) before the courts and negotiates settlements.
Minimum Job Qualifications Requirement (Academic, training, languages, etc.)
Professional degree in Law from an accredited educational institution.
Fluency in English and Arabic is required – written and spoken.
IFSAH Certificate is preferred.
Minimum
Work Experience:
Minimum 3-5 years’ experience in corporate and/or legal functions, working on drafting and reviewing contracts, policy and procedure as well as contract/document lifecycle management. Experience related to publicly listed companies and CMA requirements is a plus.
Skills & Specifications
Robust working knowledge of commercial law, corporate law, and corporate governance.
Strong interpersonal and presentation skills, along with the ability to communicate effectively with lawyers and departments.
Good organizational and planning abilities including the ability to work under pressure and meet tight deadlines.
Strong analytical/problem-solving and quantitative abilities.
Effective communication and excellent negotiation skills.
Strong legal English skills.
