To ensure the company and its employees adhere to laws, regulations, standards, andethical practices, fostering a strong culture of governance and compliance in line with corporate and regulatory requirements.

Key Accountabilities:

Implementation of Compliance & Governance Programs

Execute compliance tasks as assigned by the Head of Compliance & Legal Affairs to ensure adherence to company policies and regulatory requirements.

Implement effective compliance and governance programs in alignment with corporate strategy to uphold ethical standards.

Ensure the company complies with corporate governance regulations set by the Capital Market Authority (CMA) and Companies Law.

Organize and oversee corporate disclosures on the Tadawul website in compliance with regulatory requirements.

Governance and Regulatory Compliance

Prepare, review, and update corporate governance frameworks, including board regulations and policies.

Organize and manage general assembly meetings, ensuring compliance with regulatory guidelines.

Monitor and track regulatory changes, ensuring proper implementation within the organization.

Supervise the execution of corrective action plans and follow up on their implementation.

Risk Assessment and Advisory

Assess compliance risks associated with various business activities and provide insights to the Head of Compliance & Legal Affairs.

Conduct audits of company processes, policies, and documentation to identify compliance risks and areas for improvement.

Develop and maintain sound internal controls to ensure governance requirements are met.

Stakeholder Engagement and Relationship Building

Establish and maintain productive working relationships with internal departments and external stakeholders, including government and regulatory bodies.

Represent the company in meetings with regulatory authorities, ensuring compliance and governance concerns are addressed.

Monitor competitor and market compliance practices to provide relevant insights and recommendations.

Monitoring and Reporting

Prepare detailed reports and summaries on compliance and governance activities for review by the Head of Compliance & Legal Affairs.

Track and follow up on compliance-related complaints and ensure timely resolution.

Monitor adherence to compliance processes and escalate issues when necessary.

Prepare and submit the company’s annual governance report as required by the Capital Market Authority.

Qualifications, Experience, and Skills:

Bachelor’s degreein any related filed.

Minimum of 3 years of experiencein compliance or governance roles within a listed company, with prior experience inregulatory compliance, corporate governance, or legal advisory roles preferred.

Certification:IFSAH Professional Exam – Saudi Stock Exchange (Tadawul) Certification is required.

Skills:

Proficiency in software tools, including MS Word, Excel, and internet research.

Strong ability to draft letters, contracts, and compliance reports in both Arabic and English.

Effective office management and interpersonalcommunication skills.

Supervisory andleadershipabilities.

Business acumen and analytical thinking.
