Key Responsibilities:
Corporate Governance:
Oversee corporate governance and secretarial works practices, ensuring compliance with laws and regulations while promoting ethical business conduct.
Mergers & Acquisitions:
Lead and manage the legal aspects of M&A transactions, including due diligence, structuring, negotiations, and documentation.
Legal Advisory:
Provide comprehensive expert legal advice on corporate and regulatory matters, including structuring joint ventures, partnerships, and other strategic alliances, ensuring that business decisions align with regulatory requirements.
Contract Oversight:
Draft, review, and negotiate a variety of corporate contracts, including shareholder agreements, purchase agreements, escrow agreements, term sheets, offers and joint venture agreements.
Regulatory Compliance
:
Ensure compliance with local, national, and international corporate laws and regulations governing corporate transactions, secretarial works, and M&As, including securities laws and antitrust regulations.
Risk Management:
Identify potential legal risks associated with corporate strategies and transactions, developing strategies to mitigate those risks.
Stakeholder Engagement:
Collaborate with internal stakeholders, including the executive team and various departments, to align legal strategies with business objectives.
Team Leadership
:
Lead, mentor, and develop the corporate legal team, fostering a culture of excellence that encourages
professional growth

Qualifications:
Educational Background:
Juris Doctor (JD) Bachelor of Laws (LLB) or equivalent legal degree from a recognized institution.
Experience:
10 to 15 years of legal experience, with a strong focus on corporate law and M&A, ideally within a corporate environment or law firm.
Expertise:
In-depth knowledge of corporate governance, contract law, company law, capital market law, and
regulatory compliance
in the context of M&A transactions and corporate governance.
Leadership
:
Demonstrated experience in leading legal teams and managing complex projects within a corporate setting.
Skills:
Strong analytical and
problem-solving skills
, with the ability to communicate complex legal concepts clearly and effectively. Exceptional negotiation and
communication skills
, with a proven ability to manage complex legal issues and provide strategic guidance.
Industry Knowledge:
In-depth understanding of the legal frameworks governing marine business, logistics, and oil & gas EPC, construction and engineering, including familiarity with
regulatory compliance
and risk management practices.

Languages:
