We are looking for a Head of Legal to join a prominent, leading Oil & Gas organization in Saudi Arabia.
Reporting to the CEO, the Head of Legal will serve as the organization's principal legal architect, providing strategic, commercial, and risk-focused counsel to Executive Management and the Board. This is not a purely advisory role — it demands a trusted, board-level operator capable of shaping legal strategy around business objectives and building a high-performing legal function that safeguards the organisation while enabling sustainable growth.
Duties & Responsibilities:
- Acting as trusted strategic advisor to the CEO, Executive Management, and, as required, the Board and its Committees
- Aligning legal strategy with overall business objectives and industry dynamics
- Providing timely, commercially sound legal advice on corporate, commercial, regulatory, and operational matters
- Preparing, reviewing, and approving local and international contracts and agreements
- Developing and leading legal strategies for litigation, disputes, investigations, and regulatory matters, including oversight of external counsel
- Monitoring legal and regulatory developments and advising on their impact on business operations and strategy
- Partnering closely with Compliance to ensure Company-wide adherence to applicable laws, regulations, and internal policies
- Overseeing Board Secretariat responsibilities in line with Saudi laws and best-practice corporate governance standards
- Planning and supporting Board and Committee meetings, including agendas, board packs, minutes, and tracking of resolutions
- Leading, developing, and mentoring the legal function, fostering a culture of integrity and accountability
- Communicating complex legal issues clearly and effectively to non-legal executives and Board members
Requirements:
- 15+ years of post-qualification legal experience
- Bachelor's degree in Law or Juris Doctor, with a valid license to practice in Saudi Arabia
- Postgraduate qualifications (MBA, LL.M., or equivalent) preferred
- Saudi Arabia-based, or with prior substantial experience in the Kingdom; international exposure is advantageous
- Strong expertise in corporate, commercial, labour, and regulatory law, with essential litigation management and complex contracting experience
- Oil & Gas / energy sector experience is essential
- Strong knowledge of corporate governance frameworks and regulatory disclosure requirements
- Fluent in Arabic and English, written and verbal
- Prior Board Secretary / Company Secretariat experience is desirable but not mandatory
- A demonstrated strategic mindset, strong commercial and financial acumen, and the ability to build and lead high-performing legal teams
- High ethical standards, sound judgement, and the ability to operate with discretion at Board and executive levels
