Job Summary:
The Job Holder is Responsible to Plan & organize Board and Committee meetings and follow-up with Actions on decisions. Also Support GRC Director in compliance assignments.
Key Responsibilities:
v Corporate Governance Framework Support
Support in development and implementation of governance frameworks, and fit-for-purpose financial controls.
ÂSupport to Establish processes to monitor compliance and effectiveness of corporate governance controls.
Identifies, develops, and implements Governance process improvements to ensure that Continues improvement approach is maintained for sustained quality performance.Â
v Corporate Governance Coordination
Plan, Organize & procure all requirements for Board and committee meetings to ensure best facilitation to the Executive members.
ÂCoordinate with Executive Members to develop the meeting agenda and Draft Minutes of meetings to ensure that all stakeholders have clear understanding about taken decisions.
ÂPrepares, drafts and organizes different types of documents and presentations.
ÂFacilitates all printing services for different documents and publications.
Organize  board meetings including, producing detailed board minutes, distribution of board minutes, arranging for signature and carrying out post-meeting actions as required.Â
v Decisions & Resolutions Register Follow-up
Follow-up with Stakeholders to ensure that all decisions and resolutions are implemented properly and report the same to the management.
Liaise with key stakeholders toFacilitate the flow of key information.
v Document Controlling
ÂPrepare, operate and update procedures of documents control, in line with the organization’s document management system.
Âkeep track and highlight any type of document modification, to enable viewing of such modification by management.
Establishes, administer and updates filing and archiving systems, in order to ensure adequate storage, retrieval, and disposal of documents.
v Best Practices research & Legal monitoring
ÂConduct research and studies on given technical issues and Identifies, evaluates, and uses reference sources and other appropriate information sources to keep up-to date about the corporate governance and company laws in Saudi Arabia in particular and the world in general.
Monitor the changes in corporate governance and company laws and keep the management informed about these changes and its possible consequences).
v Management Reporting
Follows procedures of reporting on DRR and other reports required from time to time to the management.Â

ÂGRC Team, companies’ Executives.

External Board and Committee Members.
QUALIFICATIONS, EXPERIENCE:
v Minimum Qualification
Bachelor degree or diploma
ÂDemonstrates a basic understanding of governance context, within which the organization operates.
v Minimum Experience
Â3 to 5 years of experience in Corporate Governance
v Other Requirement
ÂProfessional with MS office, presentation skills
ÂDemonstrates a sound judgment and an ability to make reasonable decisions, in absence of direction.
ÂDemonstrates an advanced proficiency by quickly adapting to new technology, and easily acquiring new technical skills.
ÂDemonstrates an understanding of technical issues associated with conducting research and studies.
