Role Purpose: To lead the design, implementation, and continuous enhancement of Company's corporate governance framework, ensuring alignment with ISO 37000 (Governance of Organizations), ISO 37301 (Compliance Management), and applicable Saudi regulatory requirements. The role serves as the primary subject matter expert on governance structures, delegation of authority, board and committee effectiveness, and policy lifecycle management, supporting the organization's strategic objectives expectations.

Key Responsibilities:

• Lead the review, development, and continuous enhancement of Company's corporate governance framework, ensuring alignment with ISO 37000, ISO 37301, and applicable Saudi regulatory requirements including CMA, SAMA, and PDPL.

• Own and maintain the Delegation of Authority (DOA) framework at Board and Management levels; identify gaps, overlaps, and misalignments and lead targeted updates in consultation with relevant stakeholders.

• Conduct structured reviews of Company's governance-related policy library; identify policies requiring update, consolidation, or development and manage the full policy lifecycle from drafting through formal approval.

• Maintain a comprehensive policy register tracking version history, review dates, ownership, and approval status, and lead policy awareness and attestation programs across the organization.

• Develop and maintain cross-functional governance frameworks that define accountability, escalation, and coordination mechanisms across departments, ensuring consistent implementation.

• Advise on governance structures for Company's subsidiaries and joint ventures, including development of entity-level charters, DOA frameworks, and governance policies aligned with the parent governance model.

• Support the preparation of governance documentation required for subsidiary registration, licensing, and regulatory approvals including WAFI license preparation and similar requirements.

• Review, update, and enhance Board, Board Committee, and Management Committee charters to ensure clarity of mandate, defined authority levels, and alignment with the overall governance structure and ISO 37000 guidance.

• Manage governance-related information requests from Board members, shareholders, regulatory bodies, and internal stakeholders; prepare well-documented responses and maintain a log of all requests and follow-up actions.

• Support the design and implementation of a GRC technology platform as it relates to governance workflows, policy management, and DOA tracking, in coordination with the GRC & Cybersecurity team.

• Monitor regulatory developments relevant to corporate governance in Saudi Arabia and translate changes into practical updates to Company's governance framework and policies.

• Collaborate with internal stakeholders including Legal, HR, Risk, Compliance, and Business Units to embed governance requirements into organizational processes, projects, and decision-making frameworks.

• Prepare and present periodic governance reports and status updates for senior management and board-level committees, highlighting key developments, gaps, and improvement actions.

Qualifications: Bachelor's degree in Law, Business Administration, Public Administration, Political Science, or a related field. A Master's degree in Corporate Governance, Business Law, or MBA is preferred.

Professional Certifications:

• Certified Governance Professional (CGP) or equivalent

• ISO 37000 / ISO 37301 Lead Implementer or Auditor

• Chartered Secretary (ICSA / Chartered Governance Institute) – preferred

• Certified Compliance & Ethics Professional (CCEP) – preferred

YOE: 10+ years of experience in corporate governance, GRC framework design, or board secretariat functions.
