Resposibilities:
Commercial Contracts & Supplier Agreements
Draft, negotiate, and manage complex commercial contracts, supplier agreements, and procurement contracts for Vertex Aero and Helio Aviation Technologies. Ensure contractual terms align with regulatory, financial, and operational requirements, mitigating risks related to supplier performance, liability, and termination. Support procurement and business teams in structuring agreements that maximize supplier commitments and protect company interests.
Intellectual Property (IP) Management & Protection
Oversee IP agreements, research and development. licensing arrangements, and proprietary rights protection related to the HT500 program. Ensure compliance with patent, trademark, utility model, and know-how protections, particularly in the UAE, Russia, Italy, and other relevant jurisdictions. Work with internal stakeholders to secure IP ownership rights in supplier contracts and protect the company’s innovations.
Regulatory Compliance & Risk Management
Advise on compliance with international trade regulations, sanctions, and export control laws, particularly in cross-border supplier agreements. Ensure supplier contracts adhere to currency control regulations, tax obligations, and international commercial laws. Support the resolution of contract disputes, supplier performance issues, and claims while enforcing contractual obligations.
Corporate & Commercial Advisory
Provide legal support on a wide range of corporate and commercial matters, including partnership agreements, investment structures, and financial arrangements. Work closely with external and internal stakeholders to align contract negotiations with broader business objectives.
Qualifications & ExperienceEducation:
Law degree (LL.B. or J.D.) from an accredited university.
Master’s in Business Law (LL.M.) or specialization in Intellectual Property or Commercial Law is a plus.
Admission to a recognized bar association (US, Canada, or UK).
Experience:
5+ years of experience in commercial contracts and intellectual property law, preferably in aerospace, aviation, or high-tech industries.
Strong background in contract drafting, supplier negotiations, and IP protection strategies.
Experience in licensing, IP enforcement, and managing trade secrets in supplier and procurement agreements.
Previous work in cross-border contracting, supplier risk management, and regulatory compliance is highly desirable.
Previous relevant work and experience in top-tier international law firm is highlight desirable.
Expert knowledge of commercial contracts, supplier agreements, and IP rights protection
.• Strong contract negotiation and drafting skills, particularly in technology transfer and licensing.
Ability to work cross-functionally and support procurement, engineering, and finance teams.
Excellent problem-solving and strategic thinking skills with an ability to mitigate legal risks.
Strong communication and stakeholder management skills to work with multinational suppliers and internal teams.
Fluency in English is required; knowledge of Arabic or Italian is an advantage.
