Job Purpose
The Chief Legal Officer / Legal Director is responsible for leading all legal, regulatory, governance, compliance, and corporate risk matters across the organisation’s global energy, oil & gas, mining, infrastructure, and concession operations. The role serves as a strategic adviser to the CEO and Board on high-value commercial transactions, concession agreements, PSCs, M&A, disputes, and regulatory matters across international jurisdictions.
Key Responsibilities
Corporate Legal Leadership
- Develop and implement the Group legal strategy.
- Advise the Board, CEO, and Executive Management on all legal and governance matters.
- Lead legal risk management across all business units and geographies.
Concessions, Energy & Oil & Gas Agreements
- Lead negotiations of:
- Concession Agreements
- Production Sharing Contracts (PSC)
- Joint Operating Agreements (JOA)
- Joint Venture Agreements (JV)
- EPC Contracts
- Offtake Agreements
- Energy Infrastructure Development Agreements
- Ensure contractual and regulatory compliance across all jurisdictions.
Corporate Governance
- Serve as legal adviser to the Board and Board Committees.
- Establish governance frameworks aligned with international best practices.
- Manage company secretarial and corporate governance activities.
Commercial & Strategic Transactions
- Lead legal support for mergers, acquisitions, divestments, asset purchases, and strategic investments.
- Manage project development agreements and complex cross-border commercial transactions.
Regulatory & Compliance Management
- Ensure compliance with local and international laws, sanctions regulations, anti-corruption legislation, competition laws, and industry regulations.
- Develop and oversee ethics and compliance programmes.
Disputes & Arbitration
- Lead litigation, international arbitration, mediation, and dispute resolution activities.
- Manage external counsel and legal budgets.
- Protect company interests in high-value claims and contractual disputes.
Government & Stakeholder Relations
- Manage relationships with ministries, regulators, concession authorities, state-owned entities, and international partners.
- Support negotiations involving governments and sovereign entities.
Leadership & Talent Management
- Lead international legal teams across multiple jurisdictions.
- Establish succession planning and talent development initiatives.
Mandatory Requirements
- Bachelor’s Degree in Law (LLB) and admission to practice law in a recognised jurisdiction.
- Master’s Degree (LLM) preferred.
- Minimum 20 years of legal experience.
- Minimum 10 years in senior legal leadership roles.
- Proven experience within Oil & Gas, Energy, Mining, Infrastructure, or Concession businesses.
- Significant experience negotiating:
- PSCs
- Concession Agreements
- Joint Ventures
- EPC Contracts
- Project Development Agreements
- International Commercial Contracts
- Strong Middle East experience is mandatory.
- Experience managing legal matters across multiple international jurisdictions.
- Extensive exposure to Board-level advisory and executive decision-making.
